Affiliate Programme Terms and Conditions
1.Introduction and Acceptance
- 1.1These Terms and Conditions (the "Terms") govern participation in the Swan Hellenic Affiliate Programme (the "Programme") operated by Swan Hellenic Cruises - FZCO, a Free Zone Company incorporated in the United Arab Emirates under Trade Licence No. 16758 issued by the Dubai Integrated Economic Zones Authority, with its registered address at DSO-IFZA, IFZA Properties, Dubai Silicon Oasis, Dubai, United Arab Emirates ("Swan Hellenic", "we", "us", "our").
- 1.2By submitting an application to the Programme, accepting an invitation to join, or generating, displaying or otherwise using any tracking link, referral code or creative asset provided by us, you ("Affiliate", "Partner", "you") agree to be bound by these Terms.
- 1.3These Terms incorporate by reference our Website Terms and Conditions and our Privacy Policy, each available at swanhellenic.com. In the event of conflict between these Terms and any other document concerning the Programme, these Terms prevail unless we have agreed otherwise in a signed written agreement.
- 1.4Marketing materials, rate cards, presentations and web pages describing the Programme are provided for information only and are subject to these Terms. Where any such material conflicts with these Terms, these Terms govern.
- 1.5You must be at least 18 years of age and legally capable of entering into a binding contract. If you are applying on behalf of a company or organisation, you warrant that you have authority to bind that entity.
2.Definitions
"Affiliate Link" means the unique tracking URL, referral code or coupon code issued to you by us, and includes any sub-link or campaign link you generate through the affiliate panel under clause 3.6.
"Booking" means a reservation for a Swan Hellenic voyage made by a Referred Customer.
"Confirmed Booking" means a Booking for which the required deposit has been received and cleared by us, the Cancellation Window has expired, and which has not been cancelled, refunded or charged back.
"Cancellation Window" means the fourteen (14) day period following receipt of a cleared deposit during which a Booking may be cancelled by the customer without penalty.
"Cookie Period" means the attribution window set out in clause 5, running from the Referred Customer's most recent click on your Affiliate Link.
"Profit Margin" means the amount defined in clause 6.4, being the basis on which Revenue Share is calculated.
"Sales Qualified Lead" or "SQL" means an enquiry meeting every criterion in clause 4, being an enquiry that our sales team has accepted as a genuine, contactable prospect with demonstrable intent to travel. References in these Terms to a "Qualified Lead" mean a Sales Qualified Lead.
"Referred Customer" means a person who reaches a Swan Hellenic website or enquiry form via your Affiliate Link within the Cookie Period.
"Tier" means the performance level assigned to you under clause 7.
3.Application, Approval and Account
- 3.1Participation is by application and approval only. We may accept or decline any application at our sole discretion and are not obliged to give reasons.
- 3.2We assess applications on brand alignment, audience quality and relevance, content standards, and compliance history. We do not, as a general rule, accept:
- •Coupon, voucher, deal-aggregator or cashback sites, except by prior written agreement and on separately negotiated rates;
- •Sites containing adult, hateful, discriminatory, violent, defamatory or illegal content;
- •Sites that infringe third-party intellectual property rights;
- •Applicants who cannot demonstrate a genuine audience or established publishing presence.
- 3.3You must provide accurate, complete and current information in your application and keep your account details up to date. Providing false information is grounds for immediate termination and forfeiture of unpaid commission.
- 3.4You may hold only one Affiliate account unless we agree otherwise in writing. Operating multiple accounts to obtain higher Tier benefits is a material breach of these Terms.
- 3.5On approval you will be given access to the Swan Hellenic affiliate panel, a fully transparent reporting dashboard through which you can monitor your performance in one place, including:
- •Clicks and traffic generated by each of your links;
- •Every lead you have submitted, together with its current status and, where an enquiry has not been accepted as an SQL, the reason;
- •Bookings attributed to you, including the voyage booked and the booking value;
- •The Profit Margin figure applied to each Confirmed Booking, as set out in clause 6.5;
- •CPA and Revenue Share earned, commission pending validation, and your payment history;
- •Your current Tier and progress toward the next Tier threshold.
- 3.6You may generate an unlimited number of referral links and sub-links through the panel, allowing you to track individual campaigns, channels, placements or pieces of content separately. Sub-links are attributed on the same basis as your primary Affiliate Link and are subject to these Terms in full.
- 3.7Panel access is provided for the duration of your participation in the Programme and is personal to you. You must keep your login credentials secure, must not share, sell or transfer access to any third party, and are responsible for all activity carried out under your account. Access terminates automatically on termination of your participation under clause 14.
- 3.8We aim to keep the panel available at all times and to report data promptly, but we do not guarantee uninterrupted availability. Reporting may be delayed by processing, validation or technical maintenance, and figures shown are subject to the validation, reversal and clawback provisions in clauses 4 and 8 until finalised. Nothing displayed in the panel constitutes a guarantee of payment until the relevant lead or booking has been validated in accordance with these Terms.
- 3.9Approval does not create any exclusivity, territory right, employment, partnership, joint venture or agency relationship. You are an independent contractor and have no authority to bind Swan Hellenic, quote prices, make representations, accept payments from customers, or hold yourself out as a Swan Hellenic employee, agent or travel agent.
4.Sales Qualified Leads (Layer 1 — CPA)
4.1 CPA is payable only on a Sales Qualified Lead ("SQL"). An SQL is an enquiry that satisfies all of the following:
- (a)It was submitted via a Swan Hellenic enquiry form reached through your Affiliate Link within the Cookie Period;
- (b)It contains a full name, a valid and deliverable email address, a valid telephone number, a country of residence, a stated voyage or destination interest, and indicative travel dates;
- (c)It carries all consents required under clause 12 for us to contact the individual;
- (d)It is not a duplicate of an enquiry received in the preceding thirty (30) days from the same individual, email address, telephone number or household, whether via you or any other source;
- (e)It is not a pre-existing contact already present in our customer or prospect database at the time of submission;
- (f)It survives our verification checks and is not identified as fraudulent, automated, incentivised or otherwise invalid; and
- (g)It is accepted by our sales team as a Sales Qualified Lead, meaning the enquirer has been successfully contacted or has responded to contact, the contact details supplied are genuine and reachable, and the enquiry reflects a genuine interest in travelling with Swan Hellenic. An enquiry that cannot be reached after reasonable documented contact attempts within fourteen (14) days, or which the enquirer confirms was made in error or without intent to travel, is not an SQL.
- 4.2The following do not constitute SQLs and attract no payment: newsletter or mailing-list sign-ups; brochure downloads; competition or prize-draw entries; enquiries from you, your employees, your immediate family or any entity you control; enquiries from existing Swan Hellenic customers or those with a Booking in progress; enquiries generated by paid traffic in breach of clause 9; and enquiries submitted with placeholder, disposable or non-deliverable contact details.
- 4.3We validate leads on a rolling basis and confirm SQL status within thirty (30) days of submission. Where an enquiry is rejected, the reason will be shown in the affiliate panel. Our determination, made in good faith, is final subject to the dispute process in clause 8.7.
- 4.4SQL status is determined by us. We will apply the criteria in clause 4.1 consistently across all Affiliates and will not reject an enquiry solely because it did not convert to a Booking.
- 4.5We may impose a monthly cap on the number of SQLs payable to any Affiliate, and will notify you in writing at least thirty (30) days before applying a cap to your account.
5.Tracking, Attribution and Cookie Period
- 5.1Referrals are tracked through your Affiliate Link or any sub-link generated by you under clause 3.6. Attribution operates on a last-click basis: where a customer clicks links from more than one affiliate, the most recent qualifying click within the Cookie Period receives attribution.
- 5.2The Cookie Period is ninety (90) days for Explorer and Voyager Tier Affiliates and one hundred and twenty (120) days for Navigator Tier Affiliates, running from the most recent click.
- 5.3Our tracking platform is the sole and definitive record for all attribution and commission calculations. Third-party analytics, your own reporting, or customer statements do not override it.
- 5.4We do not guarantee that every referral will be tracked. Attribution may fail for reasons outside our control, including cookie deletion, private browsing, ad-blocking or tracking-prevention software, device or browser switching, and manual URL entry. No commission is payable on untracked activity, and we accept no liability for tracking loss howsoever caused.
- 5.5Direct bookings, telephone bookings, bookings made through travel agents or tour operators, group and charter bookings, and bookings originating from our own marketing channels are excluded from attribution unless we have expressly agreed a code-based tracking arrangement with you in writing.
- 5.6You must not modify, cloak, mask, shorten in a manner that obscures destination, redirect, or otherwise interfere with Affiliate Links, or attempt to set tracking cookies other than by a genuine customer-initiated click. Cookie stuffing, forced clicks, iframe injection, adware, toolbars and browser extensions that set tracking without a deliberate click are strictly prohibited.
6.Commission Structure

CPA is payable per Sales Qualified Lead as defined in clause 4. Revenue Share is calculated on Profit Margin as defined in clause 6.4, not on gross booking value or advertised fare. The two layers are cumulative: a Sales Qualified Lead that converts to a Confirmed Booking earns both.
Revenue Share basis
- 6.3Revenue Share is calculated on Profit Margin, not on gross booking value or advertised fare.
- 6.4"Profit Margin" means the total cruise fare received by us for the Booking, less: port charges, port expenses, government fees and taxes; fuel surcharges; air, pre- and post-cruise hotel, transfer and land-programme components; travel protection and insurance premiums; onboard credit, Wi-Fi upgrades, single-supplement waivers and any other promotional value extended to the customer; third-party commissions payable on the same Booking; payment processing and currency conversion fees; and any other direct costs, levies or charges incurred by us in connection with the Booking. Onboard spend, gratuities, shore excursions purchased separately and any items purchased after embarkation are excluded from Profit Margin.
- 6.5We will make available, through the affiliate panel described in clause 3.5, the Profit Margin figure applied to each Confirmed Booking attributed to you. We are not obliged to disclose underlying cost structures, supplier rates or commercially confidential pricing information.
- 6.6Commission is payable only on the first Confirmed Booking arising from a Referred Customer. Subsequent bookings by the same customer are not commissionable unless made within the Cookie Period following a fresh qualifying click on your Affiliate Link.
Bonus accelerators
- 6.7We may from time to time offer bonus payments, including a first-booking bonus, a new-client bonus, a volume bonus, and a group-booking bonus. Bonus accelerators are discretionary promotional incentives, are subject to the specific terms published at the time of the offer, and may be varied or withdrawn on thirty (30) days' notice. Bonuses are payable only where the underlying Booking becomes a Confirmed Booking and are subject to the same clawback provisions as Revenue Share.
7.Performance Tiers
7.1 All Affiliates join at Explorer Tier. Tier thresholds are:
Explorer
- Qualifying threshold
- All new Affiliates; no minimum
- Measurement
- On approval
Voyager
- Qualifying threshold
- 3+ Confirmed Bookings per quarter, or $30,000+ attributed booking value
- Measurement
- Rolling 3 months
Navigator
- Qualifying threshold
- 6+ Confirmed Bookings per quarter, or $75,000+ attributed booking value
- Measurement
- Rolling 3 months
| Tier | Qualifying threshold | Measurement |
|---|---|---|
| Explorer | All new Affiliates; no minimum | On approval |
| Voyager | 3+ Confirmed Bookings per quarter, or $30,000+ attributed booking value | Rolling 3 months |
| Navigator | 6+ Confirmed Bookings per quarter, or $75,000+ attributed booking value | Rolling 3 months |
- 7.2Tier status is reviewed quarterly on rolling three-month performance. Upgrades take effect from the first day of the month following review and apply to activity generated thereafter; they are not applied retrospectively.
- 7.3Where performance falls below the threshold for your current Tier across a full review period, we may downgrade you to the appropriate Tier on thirty (30) days' written notice. Commission already earned at the higher rate is unaffected.
- 7.4Only Confirmed Bookings count toward thresholds. Cancelled, refunded or clawed-back bookings are deducted.
- 7.5FAM (familiarisation) trips are offered at our absolute discretion, are subject to availability and separate terms, carry no cash value, and are non-transferable. Nothing in these Terms entitles any Affiliate to a FAM trip.
8.Payment Terms
- 8.1CPA commission on SQLs is validated within thirty (30) days of lead submission and paid in the payment run following validation.
- 8.2Revenue Share is payable once the deposit has cleared and the Cancellation Window has expired. We may, at our discretion, defer Revenue Share payment until final balance payment has been received.
- 8.5All amounts are stated exclusive of VAT or equivalent sales tax. Where UAE VAT is chargeable on any payment under these Terms, it will be added at the prevailing rate and shown on any invoice or self-billing statement, provided that the total amount payable by Swan Hellenic (inclusive of any VAT) shall not exceed the commission rates set out in clause 6.2 unless otherwise agreed. You must provide a valid tax invoice where required. You are solely responsible for determining, declaring and paying all taxes, social contributions and duties arising on your commission in your own jurisdiction. You must provide any tax documentation we reasonably request, and we may withhold payment until it is provided or where withholding is required by law.
- 8.6We may withhold or suspend payment where we are investigating suspected fraud, breach of these Terms, or irregular activity, for so long as is reasonably necessary to complete the investigation.
Disputes
- 8.7Any dispute regarding tracking, attribution, lead validation or commission calculation must be raised in writing within thirty (30) days of the transaction or statement date. Claims raised after that period are waived. You must provide supporting evidence; we will respond within thirty (30) days of receiving a complete claim.
Clawback and reversal
- 8.8We may reverse, withhold or reclaim commission where: a Booking is cancelled, refunded, charged back or not paid in full; a customer exercises statutory or contractual cancellation rights; a lead or booking is subsequently found to be fraudulent, duplicated, incentivised or otherwise invalid; commission was paid in error or miscalculated; or you have breached these Terms.
- 8.9Reversals are offset against future commission. Where no future commission is payable, or on termination, you must repay the amount within thirty (30) days of our written demand, failing which interest accrues at the rate of 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) from the due date until payment in full.
- 8.10Accounts inactive for twelve (12) consecutive months (no clicks, leads or bookings) may be closed, and any balance below the minimum payment threshold forfeited, provided we have given thirty (30) days' notice to your registered email address.
9.Permitted and Prohibited Promotion
Permitted channels
- 9.1Subject to these Terms, you may promote Swan Hellenic through your own website or blog; your own social media channels; your own opt-in email list; video and podcast content; and paid media that complies with clause 9.3.
Paid search and brand bidding
- 9.2Unless we have given prior written approval, you must not bid on, or use as keywords in any paid search or paid social campaign: "Swan Hellenic"; "SwanHellenic"; "SH Diana", "SH Vega", "SH Minerva"; any Swan Hellenic trademark; any close variant, misspelling or transliteration of the foregoing; or any of the above in combination with terms such as "discount", "promo", "offer", "code", "deal", "review" or "cruise".
- 9.3Where paid media is used, you must: apply our brand terms and their variants as negative keywords; not direct-link paid traffic to swanhellenic.com or any Swan Hellenic domain; not use Swan Hellenic trademarks in ad copy, display URLs or ad extensions; and not use domains containing our brand name or confusingly similar terms.
Prohibited activity
9.4 You must not:
- •Send unsolicited email, SMS, WhatsApp or other messages, or any communication breaching GDPR, PECR, the UK and EU e-privacy regimes, CAN-SPAM, CASL, the TCPA or equivalent laws;
- •Purchase, rent, scrape, harvest or otherwise acquire third-party contact lists for promotion of Swan Hellenic;
- •Generate leads or bookings through your own Affiliate Link, or through employees, immediate family, or entities you own or control (self-referral);
- •Use cookie stuffing, forced clicks, pop-unders, adware, toolbars, browser extensions, iframes or any technique that sets tracking without a deliberate customer click;
- •Use automated tools, bots, click farms, incentivised traffic, paid-to-click or reward-based traffic to generate leads or clicks;
- •Post Affiliate Links or codes on coupon, voucher, deal or cashback sites, or on forums or communities where such posting is not permitted, without prior written approval;
- •Quote prices, availability, itineraries or promotional terms that are not current, or make any offer, guarantee or representation on our behalf;
- •Represent yourself as Swan Hellenic, as a Swan Hellenic employee or agent, or as an authorised travel agent, or create any website, page, profile or account that could be mistaken for an official Swan Hellenic property;
- •Take bookings, hold customer funds, collect deposits or process payments for Swan Hellenic voyages;
- •Register domain names, social handles, or app names containing our trademarks or confusingly similar terms;
- •Make false, misleading or unsubstantiated claims about our voyages, ships, pricing, safety, environmental credentials or sustainability practices;
- •Publish content that is defamatory, obscene, discriminatory, hateful, violent, or otherwise unlawful, or place our brand adjacent to such content;
- •Resell, share, sub-license or otherwise transfer leads generated under the Programme to any third party.
Artificial intelligence and synthetic content
- 9.5Where you use generative AI tools to produce content promoting Swan Hellenic, you remain fully responsible for its accuracy and compliance. You must not publish AI-generated or synthetic imagery, audio or video that depicts our ships, voyages, destinations, crew, guests or facilities in a way that could mislead a consumer as to the actual product, nor generate synthetic likenesses of Swan Hellenic personnel or fabricated guest testimonials or reviews.
10.Advertising Disclosure and Consumer Law
- 10.1You must clearly and conspicuously disclose your commercial relationship with Swan Hellenic in all content promoting us. Disclosure must appear before or alongside the affiliate content, be readable without clicking to expand, and be in the same language as the content.
- 10.2You are responsible for compliance with the advertising rules of every jurisdiction you target, including the FTC Endorsement Guides (United States), the CAP Code and ASA guidance (United Kingdom), the Competition and Consumer Act and ACCC guidance (Australia), the Competition Act and Ad Standards guidance (Canada), and the EU Unfair Commercial Practices Directive.
- 10.3Where you have not personally experienced a Swan Hellenic voyage, you must not imply that you have. Content arising from a FAM trip or any hosted travel must disclose that the travel was provided by us.
- 10.4We may require you to amend or remove any content that we consider non-compliant, inaccurate or damaging to our brand, and you must comply within twenty-four (24) hours of written notice for content we identify as materially damaging or unlawful, and within five (5) business days for all other requests.
11.Intellectual Property and Brand Use
- 11.1We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Swan Hellenic name, logo and the marketing assets we supply, solely for promoting Swan Hellenic under the Programme and strictly in accordance with our brand guidelines, for the duration of your participation.
- 11.2All intellectual property in the Swan Hellenic brand, marks, imagery, copy and assets remains ours or our licensors'. Nothing in these Terms transfers ownership or grants any right beyond the licence in clause 11.1.
- 11.3You must not alter, distort, recolour, crop, animate or overlay our logo or marks, or combine them with your own or third-party marks in a way suggesting joint ownership, endorsement or partnership beyond the affiliate relationship.
- 11.4Photography and video supplied by us may be subject to third-party licences, including wildlife, location and model restrictions, and may be limited by time, territory or channel. You must use such assets only as we specify and must cease use and remove the material on request.
- 11.5You grant us a non-exclusive, irrevocable, royalty-free, perpetual, worldwide licence to reference your name, brand, handle and logo, and to reproduce extracts of your Swan Hellenic content, for the purpose of promoting and reporting on the Programme.
- 11.6On termination, the licence in clause 11.1 ends immediately. You must remove all Swan Hellenic branding, assets, Affiliate Links and codes from your properties within ten (10) business days.
12.Data Protection
- 12.1Each party acts as an independent controller in respect of personal data it collects. Neither party processes personal data on the other's behalf under the Programme.
- 12.2Where you collect or transmit personal data of prospective customers, you warrant that you have a lawful basis for doing so and have obtained all consents necessary for us to contact the individual by email, telephone, SMS and instant messaging where those channels are used, including autodialled and pre-recorded messages where applicable.
- 12.3You must comply with all applicable data protection law, including UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and any applicable free-zone data protection regulations, the UK GDPR, the EU GDPR, PECR, the Australian Privacy Act, PIPEDA (Canada), and applicable US federal and state privacy and telemarketing law.
- 12.4You must not transfer to us any personal data obtained unlawfully, from purchased or rented lists, or without valid consent. You indemnify us against all claims, fines and losses arising from your breach of this clause.
- 12.5You must notify us without undue delay, and in any event within twenty-four (24) hours, of any personal data breach affecting data shared with or collected for us.
- 12.6Our processing of personal data is described in our Privacy Policy at swanhellenic.com/privacy.
13.Warranties, Indemnity and Liability
- 13.1You warrant that you have full right and authority to enter into these Terms; your promotional activity complies with all applicable law and these Terms; your content does not infringe any third-party right; and you hold all licences, registrations and consents required for your activity.
- 13.2You indemnify and hold harmless Swan Hellenic, its affiliates, directors, officers, employees, agents and contractors against all claims, damages, losses, fines, penalties, settlements and reasonable costs (including legal, investigation and regulatory defence costs) arising from your breach of these Terms, your promotional activity, your content, or your handling of personal data.
- 13.3The Programme is provided on an "as is" basis. We do not warrant that tracking will be uninterrupted or error-free, that any level of traffic, leads, bookings or earnings will be achieved, or that any voyage, itinerary, price or promotion will remain available.
- 13.4All earnings figures, example calculations and projections published in Programme materials are illustrative only. They are not a forecast, representation, guarantee or offer of any particular level of income, and no Affiliate should rely on them.
- 13.5Subject to clause 13.6, our total aggregate liability arising out of or in connection with these Terms is limited to the total commission actually paid to you in the twelve (12) months preceding the event giving rise to the claim. We are not liable for loss of profit, loss of anticipated earnings, loss of goodwill, or any indirect or consequential loss.
- 13.6Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.
14.Suspension, Termination and Changes
- 14.1Either party may terminate participation at any time on written notice, without cause.
- 14.2We may suspend or terminate your account immediately, without notice, where we reasonably believe you have engaged in fraud or falsification; materially breached these Terms; brought our brand into disrepute; breached data protection or consumer law; or become insolvent.
- 14.3On termination without cause, commission validly earned before the termination date remains payable in the ordinary payment cycle, subject to clause 8 and to the expiry of applicable validation and cancellation windows. Attribution ceases on the termination date; no commission accrues on bookings completed thereafter, irrespective of any remaining Cookie Period.
- 14.4On termination for cause under clause 14.2, all unpaid commission directly connected with the activity giving rise to termination is forfeited, and we may in our discretion withhold remaining unpaid commission pending investigation under clause 8.6. We reserve the right to reclaim commission already paid in respect of the affected activity.
- 14.5We may amend these Terms, commission rates, Tier thresholds, Cookie Periods and Programme benefits. Except where a change is required by law or is necessary to address fraud or security, we will give at least thirty (30) days' written notice to your registered email address. Continued participation after the effective date constitutes acceptance. If you do not accept a change, your remedy is to terminate under clause 14.1.
- 14.6Clauses 8.8 to 8.10, 11.2, 11.5, 11.6, 12, 13 and 15 survive termination.
15.General
- 15.1These Terms, together with the documents referred to in clause 1.3, constitute the entire agreement between the parties concerning the Programme and supersede all prior discussions, proposals and marketing materials.
- 15.2You may not assign or transfer your rights under these Terms without our prior written consent. We may assign or transfer our rights freely.
- 15.3No failure or delay by us in exercising any right constitutes a waiver of that right.
- 15.4If any provision is held invalid or unenforceable, the remainder continues in full force and the provision is modified to the minimum extent necessary to make it enforceable.
- 15.6These Terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes, are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The parties submit to the exclusive jurisdiction of the Dubai Courts.
- 15.7These Terms do not confer any right or benefit on any person who is not a party to them, and no third party may enforce any provision of these Terms.
